1. Acceptance of these terms
These Terms & Conditions (“Terms”) govern your access to and use of the website https://www.perfectionint.com(the “Website”) and the services provided by Perfection International (“Perfection International”, “we”, “us” or “our”). By using our Website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Website or our services.
These Terms should be read together with our Privacy Policy, Cookie Policy and Refund & Cancellation Policy.
2. Definitions
- “Client”, “you” — the individual or business that engages our services or uses the Website.
- “Services” — the digital marketing services we offer, including social media marketing, graphic design, video editing, branding, website services, digital advertising and SEO.
- “Deliverables” — the work products we create for you under a given engagement.
- “Proposal” / “SOW” — a quote, proposal or statement of work describing the scope, fees and timeline of an engagement.
3. Our services
We provide creative digital marketing services to clients in India and worldwide. The specific scope, deliverables, timelines and fees for any engagement are set out in the Proposal or SOW we agree with you. Where these Terms conflict with a signed Proposal or SOW, the Proposal or SOW prevails for that engagement.
4. Engagement, quotes & proposals
Quotes and proposals are valid for the period stated on them (or 30 days if not stated). An engagement begins when you accept a Proposal in writing (including by email) and, where applicable, pay the agreed advance. We reserve the right to decline or discontinue work that falls outside the agreed scope, is unlawful, or conflicts with our values.
5. Your responsibilities
To help us deliver on time, you agree to:
- Provide accurate, complete information and all materials we reasonably need (briefs, brand assets, content, access credentials).
- Review and respond to requests for approval and feedback promptly.
- Ensure you own or are licensed to use any content, logos, images or materials you supply, and that they do not infringe any third-party rights or laws.
- Comply with the terms and policies of any third-party platform used in your campaigns (for example Meta, Google, YouTube, TikTok).
Delays in providing materials, approvals or payment may affect agreed timelines, for which we are not responsible.
6. Fees, payment & taxes
- Fees are as stated in the applicable Proposal or SOW. Unless stated otherwise, fees are exclusive of applicable taxes, including Goods and Services Tax (GST), which will be charged where required.
- We may require an advance payment before work begins. Recurring (retainer) services are billed in advance for each cycle.
- Invoices are payable within the period stated on them. We may pause work or withhold Deliverables where undisputed invoices remain unpaid.
- Third-party costs — such as advertising spend, stock media, fonts, plugins, domains and hosting — are your responsibility and are billed at cost or paid by you directly, in addition to our fees.
Cancellations and refunds are governed by our Refund & Cancellation Policy.
7. Delivery, revisions & acceptance
We will use reasonable efforts to meet agreed timelines, which are estimates unless stated to be fixed. Each engagement includes the number of revision rounds set out in the Proposal; additional revisions or changes to an approved scope may incur further fees. If you do not provide feedback within a reasonable period after delivery, the relevant Deliverable will be deemed accepted.
8. Intellectual property
- Your Deliverables. On full payment of all fees due for an engagement, ownership of the final Deliverables created specifically for you transfers to you, unless the Proposal states otherwise.
- Our materials. We retain ownership of our pre-existing methods, templates, tools, source files and know-how, and of any elements not created exclusively for you. Third-party assets (e.g. stock media, fonts) remain subject to their own licences.
- Portfolio rights. Unless you ask us in writing not to, we may display completed work and reference your brand in our portfolio, case studies and marketing.
9. Third-party platforms & services
Our Services often rely on third-party platforms and tools (for example advertising networks, social media platforms, analytics and hosting). We are not responsible for the availability, policies, pricing changes, or actions of those third parties, including account suspensions or content removals made at their discretion. You are responsible for your own accounts and for complying with their terms.
10. No guarantee of specific results
Digital marketing outcomes depend on many factors outside our control, including market conditions, competition, your products or services, budgets and third-party platform algorithms. While we apply our expertise and best efforts, we do not guarantee any specific results — such as rankings, reach, engagement, leads, sales or return on ad spend — and any figures we share are estimates, not promises.
11. Confidentiality
Each party agrees to keep confidential any non-public information shared by the other in the course of an engagement, and to use it only for the purpose of that engagement. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
12. Acceptable use of the Website
You agree not to:
- Use the Website for any unlawful, harmful or fraudulent purpose.
- Attempt to gain unauthorised access to, disrupt, or damage the Website or its infrastructure.
- Copy, reproduce or exploit our content, branding or Deliverables without permission.
- Introduce malware or attempt to interfere with the proper working of the Website.
13. Disclaimers & limitation of liability
The Website and, except as expressly agreed, our Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we exclude implied warranties and are not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data, goodwill or business opportunities.
To the extent permitted by law, our total aggregate liability arising out of or in connection with an engagement shall not exceed the total fees paid by you to us for that engagement in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits any liability that cannot be limited under applicable law, including under the Consumer Protection Act, 2019.
14. Indemnity
You agree to indemnify and hold us harmless from any claims, damages, losses or expenses arising from your breach of these Terms, your misuse of the Services, or from any content or materials you provide that infringe the rights of a third party or violate any law.
15. Termination, cancellation & refunds
Either party may terminate an engagement as set out in the applicable Proposal or SOW, or by written notice where the other party materially breaches these Terms and does not remedy the breach within a reasonable period. On termination, you agree to pay for all work performed up to the date of termination. Cancellations and refunds are governed by our Refund & Cancellation Policy.
16. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, power or internet outages, strikes, government action, or failures of third-party platforms or service providers.
17. Governing law & jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Subject to any right you may have to approach consumer forums under the Consumer Protection Act, 2019, the courts at Kolkata, West Bengal, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. The parties will first attempt to resolve any dispute amicably through good-faith discussions.
18. Changes to these Terms & contact
We may update these Terms from time to time. The “Last updated” date at the top of this page shows when they were last revised, and continued use of the Website or Services after changes take effect constitutes acceptance of the updated Terms.
